We recently wrote a chapter in Current Protocols on viability 
determinations in bacteria:

Davey, H.M., Kaprelyants, A.S., Weichart, D.H., and Kell, D.B. 
(1999). Approaches to the estimation of microbial viability using 
flow cytometry. In Current Protocols in Cytometry: 11. Microbial 
Cytometry, pp 3.1-3.20. New York: Wiley.

and there are many other papers on the subject.

For counting you will either need a flow cytometer that performs 
accurate, absolute counts or you can spike your samples with 
beads of a known concentration.
